Terms & Conditions

These terms govern all services provided by Oxironix. Please read them carefully before engaging our services.

Important
By engaging Oxironix's services — whether by signing a proposal, paying a deposit, sending a written confirmation, or responding affirmatively to a quote — you agree to be bound by these Terms & Conditions in full. If you do not agree, please do not proceed with any engagement.

Definitions & Agreement

In these Terms & Conditions, the following definitions apply:

  • "Oxironix" / "we" / "us" — Oxironix, a web design and digital marketing business registered and operating in South Africa.
  • "Client" / "you" — the individual, business, or organisation that engages Oxironix for services.
  • "Project" — any specific piece of work undertaken by Oxironix for the Client as defined in a quote, proposal, or written brief.
  • "Services" — web design and development, SEO, digital marketing, branding, design, maintenance, hosting support, and any other services offered by Oxironix.
  • "Deliverables" — the final files, assets, website, designs, or other outputs produced by Oxironix for the Client.
  • "Scope" — the defined work, features, pages, or outputs agreed upon at the start of a Project.
  • "Agreement" — these Terms & Conditions together with any accepted quote, proposal, or project brief.

These Terms & Conditions apply to all services provided by Oxironix, regardless of whether a separate written contract has been signed. Acceptance may be express (signature, written approval) or implied (payment of deposit, commencement of work at Client's request).

Services Provided

Oxironix offers the following categories of services:

The specific scope of services for each project is defined in the written quote or proposal provided to the Client. Oxironix reserves the right to decline any project at its discretion.

Quotes & Project Scope

Validity of Quotes

All quotes provided by Oxironix are valid for 30 calendar days from the date of issue. After this period, Oxironix reserves the right to revise pricing based on current rates and workload.

Scope Definition

The scope of work is defined in the accepted quote or proposal. This includes the number of pages, features, design rounds, and deliverables. Any work outside the agreed scope is considered an additional service and will be quoted and invoiced separately.

Scope Changes

If the Client requests additional work, new features, or significant changes that fall outside the original scope mid-project, Oxironix will issue a revised quote or change order. Work on the scope addition will only commence once the Client has accepted the revised quote in writing.

Note

Important: Adding pages, features, or content to a project after work has commenced is considered a scope change. Please ensure your brief is as complete as possible before project commencement to avoid delays and additional costs.

Payment Terms

Oxironix applies a tiered payment structure depending on project size and type. Payment terms will be clearly stated in the project quote.

Milestone-based: agreed percentage at project start, mid-point, and on completion
Monthly retainers
(SEO, maintenance, Google Ads)
Monthly in advance, due on the 1st of each month

Deposit & Commencement

Work will not commence until the required deposit or upfront payment has been received and confirmed. Oxironix is not obligated to hold a project start date if payment is not received within 5 business days of quote acceptance.

Handover & Launch

Final deliverables, website login credentials, and all project files will only be transferred or the website made live once the full outstanding balance has been paid in full.

Late Payments

Invoices are due within 7 calendar days of issue unless otherwise stated. Overdue accounts may incur an interest charge of 2% per month on the outstanding balance. Oxironix reserves the right to suspend work or retainer services on accounts that are more than 14 days overdue.

Accepted Payment Methods

EFT (bank transfer), PayFast, PayGate, and SnapScan. All amounts are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable.

Revisions & Changes

Oxironix is committed to delivering work that meets the Client's brief. The following revision policy applies to all projects:

Included Revisions

Each project includes 2 rounds of revisions per major deliverable (e.g. website design, logo concepts, brand identity). A revision round is defined as a single consolidated set of feedback submitted in writing, covering all changes required at that stage.

Additional Revisions

Revision rounds beyond the included allocation will be charged at Oxironix's standard hourly rate or a fixed fee, which will be communicated to the Client before additional work commences.

What Counts as a Revision

A revision is a change to existing approved content — such as adjusting colours, fonts, layout, or copy. A revision does not include adding new pages, features, or content that were not part of the original scope, which will be treated as a scope change.

Approval & Sign-Off

Once the Client has approved a deliverable (in writing, by email, or by WhatsApp message), that stage is considered final. Changes requested after sign-off may be treated as additional work and quoted accordingly.

Tip

Tip: To make the most of your revision rounds, consolidate all feedback into a single, clearly written list before submitting it. This avoids partial revisions and back-and-forth delays that slow down your project.

Client Responsibilities

A successful project is a partnership. The Client agrees to the following responsibilities:

  • Provide a complete and accurate brief at the start of the project, including all relevant information about the business, target audience, preferences, and required features.
  • Supply content on time — including text (copy), images, logos, and any other materials required to complete the project. Content must be provided in the agreed format and by the agreed deadline.
  • Ensure content is original and legally owned — the Client warrants that all content, images, and materials supplied do not infringe on any third-party intellectual property rights. Oxironix accepts no liability for copyright infringement arising from Client-supplied materials.
  • Respond to feedback requests promptly — the Client agrees to review work and provide feedback within the agreed timeframe (typically 5 business days) to avoid project delays.
  • Nominate a single point of contact for the project, particularly for organisations with multiple stakeholders, to avoid conflicting instructions.
  • Maintain account access — where applicable, the Client is responsible for maintaining access to their domain registrar, hosting account, and any third-party platforms needed to complete the project.

Project Delays & Abandonment

Client-Caused Delays

If the Client fails to provide content, feedback, approvals, or required access within 14 calendar days of being requested by Oxironix, the project will be placed on hold. Oxironix cannot guarantee the original delivery timeline once a project is paused.

Project Restart Fee

If a project is placed on hold due to Client delays and the Client wishes to resume, a restart fee of up to 15% of the remaining project value may be applied to re-allocate resources and re-engage with the project. This fee will be communicated to the Client before restart.

Project Abandonment

If there is no communication from the Client for 30 consecutive calendar days after Oxironix has made reasonable attempts to make contact, the project will be deemed abandoned. In this case:

  • Any deposits or payments made are non-refundable.
  • Oxironix is released from any obligation to complete or deliver the project.
  • All work completed to date remains the property of Oxironix until any outstanding balance is paid.

Oxironix-Caused Delays

If Oxironix is unable to meet an agreed deadline due to unforeseen circumstances, we will notify the Client as soon as possible and provide a revised timeline. We are committed to transparent and timely communication.

Intellectual Property & Ownership

Ownership on Full Payment

Upon receipt of full and final payment, all intellectual property rights in the final deliverables — including website design, code, logos, and other custom creative assets — are transferred to the Client. The Client may then use these deliverables freely for their intended business purpose.

Oxironix Portfolio Rights

Oxironix retains the right to display any completed work in its portfolio, on its website, in social media posts, and in marketing materials, unless the Client explicitly requests confidentiality in writing at the time of project commencement. The Client's name and work may be referenced as a case study or example.

Pre-Payment Rights

Until full payment has been received, all work — including drafts, concepts, designs, and code — remains the intellectual property of Oxironix. The Client may not reproduce, distribute, or use any deliverables until payment is complete.

Third-Party & Stock Assets

Where licensed stock images, icon sets, fonts, plugins, or themes are used in a project, they remain subject to their original licence terms. Oxironix will advise the Client of any licences that require the Client to maintain an active subscription or purchase directly.

Open-Source Software

Websites built on WordPress, Elementor, and other open-source platforms are subject to their respective licences (e.g. GPL). Oxironix does not transfer or assign rights to open-source software used in projects.

Confidentiality

Both Oxironix and the Client acknowledge that during the course of a project, each party may have access to confidential information belonging to the other party. Both parties agree to the following mutual confidentiality obligations:

Definition of Confidential Information

Confidential information includes — but is not limited to — business plans, pricing strategies, unreleased products or services, client lists, financial data, login credentials, marketing strategies, technical processes, and any information marked as confidential or that a reasonable person would understand to be confidential in nature.

Mutual Obligations

Each party agrees to:

  • Keep confidential information strictly confidential and not disclose it to any third party without prior written consent from the other party.
  • Use confidential information only for the purpose of fulfilling obligations under the Agreement.
  • Notify the other party promptly in the event of any unauthorised disclosure or suspected breach of confidentiality.

Exclusions

These confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to the Agreement, or is required to be disclosed by law or court order.

These confidentiality obligations survive the termination of the Agreement for a period of 3 years after the project's conclusion.

Liability & Warranties

Limitation of Liability

To the maximum extent permitted by South African law, Oxironix's total liability to the Client in connection with any project or service — whether in contract, delict, or otherwise — shall not exceed the total fees paid by the Client for the specific project or service giving rise to the claim.

Exclusion of Indirect Loss

Oxironix shall not be liable for any indirect, special, consequential, or incidental losses — including but not limited to loss of revenue, loss of profits, loss of anticipated savings, loss of business, loss of data, or loss of goodwill — even if Oxironix has been advised of the possibility of such losses.

Warranties

Oxironix warrants that:

  • Services will be performed with reasonable skill and care, consistent with industry standards.
  • Websites will be tested for functionality across major modern browsers prior to handover.
  • SEO and digital marketing services will be carried out in accordance with platform guidelines and best practices at the time of delivery.

No Guarantee of Results

Oxironix does not guarantee specific outcomes from SEO or Google Ads services, including specific search engine rankings, traffic volumes, conversion rates, or revenue growth. Digital marketing results are influenced by many factors beyond Oxironix's control, including competitor activity, search algorithm changes, and market conditions.

Third-Party Platform Changes

Oxironix is not responsible for issues arising from changes made by third-party platforms (including WordPress, Google, Meta, or hosting providers) after the project has been completed and handed over to the Client.

Third-Party Services

Oxironix may recommend or use third-party services, platforms, and tools as part of delivering its services. The following applies:

  • Third-party services (such as hosting, domain registrars, payment gateways, and email providers) are subject to their own terms and conditions. Oxironix is not responsible for their performance, availability, or pricing changes.
  • Where Oxironix assists in setting up third-party accounts on behalf of the Client, the Client remains the account owner and is responsible for ongoing subscription costs.
  • Google Ads budgets are paid directly by the Client to Google. Oxironix's management fee is separate from and in addition to the Client's ad spend.
  • Oxironix is not liable for hosting downtime, domain expiry, or email delivery failures caused by third-party providers.

Ongoing Services & Retainers

Monthly Retainer Terms

Ongoing services such as SEO retainers, maintenance packages, and Google Ads management are billed monthly in advance. The minimum retainer commitment is 3 months unless otherwise stated in the proposal.

Cancellation of Retainers

The Client must provide 30 calendar days' written notice to cancel a monthly retainer. Notice may be given by email to service@oxironix.co.za. No refunds will be given for partial months already paid.

Service Continuity

Oxironix will make reasonable efforts to ensure continuity of retainer services. In the event that Oxironix needs to terminate a retainer arrangement, 30 days' notice will be given to the Client, and any prepaid fees for unused periods will be refunded.

Maintenance Scope

Website maintenance packages cover routine updates to WordPress core, themes, and plugins, plus minor content updates as defined in the package. Major redesigns, new functionality, or significant content overhauls are outside the scope of maintenance and will be quoted separately.

Termination

Termination by Client

The Client may cancel a project at any time by providing written notice to Oxironix. In the event of cancellation:

  • Any deposit paid is non-refundable.
  • The Client will be invoiced for all work completed up to the date of cancellation, calculated at Oxironix's standard rates.
  • If the amount of work completed exceeds the deposit paid, the Client will be invoiced for the difference, which is due within 7 days.
  • Partially completed work will not be transferred until all outstanding amounts are paid.

Termination by Oxironix

Oxironix reserves the right to terminate a project or retainer with immediate effect in the event that:

  • The Client breaches any material term of this Agreement and fails to remedy the breach within 7 days of written notice.
  • The Client engages in abusive, threatening, or unreasonable conduct toward Oxironix or its team members.
  • Payment remains outstanding for more than 21 calendar days despite reminders.
  • The Client requests that Oxironix produce work that is illegal, defamatory, deceptive, or that infringes on third-party rights.

In the event of termination by Oxironix for cause, all fees paid to date are non-refundable.

Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms & Conditions or any project, the parties agree to the following process:

  1. Direct Negotiation: The parties will first attempt to resolve the dispute informally through direct communication within 14 calendar days of the dispute being raised in writing.
  2. Mediation: If direct negotiation fails, the parties agree to attempt mediation through a mutually agreed independent mediator before initiating legal proceedings.
  3. Legal Proceedings: If mediation is unsuccessful, either party may pursue legal remedies through the appropriate South African court as set out in clause 15.

Nothing in this clause prevents either party from seeking urgent interim relief from a court where necessary to protect their rights.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. The parties consent to the exclusive jurisdiction of the courts of the Gauteng Division of the High Court of South Africa, or the Magistrate's Court having jurisdiction, in respect of any disputes arising out of or in connection with these Terms & Conditions.

Relevant South African legislation that may apply to our services and this Agreement includes the Electronic Communications and Transactions Act (ECTA), the Consumer Protection Act (CPA), the Protection of Personal Information Act (POPIA), and any other applicable law in force from time to time.

Amendments to These Terms

Oxironix reserves the right to update or amend these Terms & Conditions at any time. When changes are made:

  • The updated Terms will be published on this page with a revised "Last Updated" date.
  • Active clients will be notified of material changes by email.
  • Continued engagement with Oxironix after the effective date of changes constitutes acceptance of the revised Terms.

We recommend bookmarking this page and checking it periodically. The version in effect at the time a project commences will govern that project unless otherwise agreed in writing.
